NFT Rental Agreement

1. Acceptance of Terms

This NFT Rental Agreement (the “Agreement”) is a binding contract between you (“You” or “User”) and Summershiloh Software, the operator of the Cute Crushies game and the cutecrushies collection on the WAX blockchain (the “Operator”, “we”, “us”). It governs every rental or listing of a Cute Crushies NFT through the in-game rental market, whether you act as a renter or as an owner (leaser).

By checking the “I have read and agree” box and clicking Rent Now or Confirm Listing, You confirm that You have read, understood, and agreed to this entire Agreement. If You do not agree, You must not rent or list any asset.

2. Definitions

• NFT — a non-fungible token from the cutecrushies collection on the WAX blockchain.
• Owner / Leaser — the WAX account that holds the NFT and lists it for rent.
• Renter — the WAX account that pays to use the NFT for a rental period.
• Rental Period — the number of days (5–30) chosen when the rental is activated.
• Escrow — the Operator-controlled WAX account that holds rental payments and disburses them daily to the Owner.
• Commission — the 3% fee taken by Cute Crushies from each rental’s total price.
• Utility Rental — a rental of in-game use only; the NFT is not transferred to, or custodied by, the Renter.

3. Eligibility

To rent or list an asset You must be an adult under the laws that apply to You, own or control the WAX account You use, and not be located in a country or on a list prohibited by applicable sanctions. You are solely responsible for ensuring Your use of the rental market complies with Your local laws.

4. How Rentals Work

An Owner lists an eligible NFT (currently assets in the houses schema) with a daily price, a duration of 5–30 days, and a currency (WAX or DUST). A Renter pays the full total up front. The NFT remains in the Owner’s wallet at all times; the Renter receives in-game use of the asset for the Rental Period. No custody, possession, or ownership of the NFT is transferred to the Renter at any time.

5. Rental Limits & Pricing

• Duration: 5 to 30 days per rental.
• Price: set by the Owner, with a minimum of 0.5 per day.
• Currency: WAX or DUST, as chosen by the Owner.
• Commission: 3% of the total price, retained by Cute Crushies.
• An asset may not be listed while it is assigned to an active team, already listed, or otherwise ineligible as determined by the game.

6. Owner (Leaser) Terms

By listing an NFT, the Owner represents that they are the sole owner of the asset, that it is not subject to any conflicting claim or encumbrance, and that listing it does not violate any third-party right or law. The Owner may cancel a listing at any time before it has been rented. Once a Renter has paid and the rental is active, the listing cannot be cancelled by the Owner.

The Owner accepts that the NFT may be sold or transferred to a third party during an active rental. In that event the rental is terminated and the Renter is refunded for unused days only (see section 10). The Owner is not entitled to any remaining escrowed funds after termination for this reason, and the Operator is not liable for the Owner’s loss of rental income caused by the Owner’s own transfer of the asset.

7. Renter Terms

The Renter pays the full rental amount up front. The rental is a limited, non-exclusive, non-transferable licence to use the asset in-game for the Rental Period. The Renter may not sub-licence, sub-rent, sell, or otherwise transfer the rental to any other account or person. The Renter acknowledges that the in-game utility may change, be rebalanced, or be suspended at the Operator’s discretion as part of ongoing game development.

8. Payment, Escrow & Commission

The Renter’s full payment is sent to an Operator-controlled escrow account (crushinator1) at the moment the rental is activated. A 3% commission is deducted and retained by Cute Crushies. The remaining amount is disbursed to the Owner daily across the Rental Period. Transaction fees (CPU/NET) and any blockchain costs are the responsibility of the party initiating the transaction.

9. Cancellation & Termination

Once a rental is paid and active, it cannot be cancelled or refunded by the Renter. The Renter is not entitled to a refund for early termination, changing their mind, or stopping use of the asset. An Owner may cancel only a listing that has not yet been rented. After a rental ends, the asset enters a cooldown period before it can be re-listed, as enforced by the game.

10. Asset Sold or Transferred During a Rental

If the on-chain owner of an NFT changes while a rental is active — for example the Owner sells, gifts, or moves the asset — the rental is terminated automatically. The Renter is refunded only for the unused remaining days (remaining days × daily price). This refund is the Renter’s sole and exclusive remedy in this situation. No additional compensation, penalty, or damages are owed by the Operator or the Owner to either party.

11. No Guarantees — “As Is” & At Your Own Risk

To the maximum extent permitted by law, the Operator disclaims all conditions, representations, and warranties — whether express, implied, statutory, or otherwise — including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the service will be available, uninterrupted, secure, error-free, accurate, or that any defect will be corrected. No advice or information from the Operator creates any warranty not stated here.

No guarantees are made regarding rental income, asset value, game balance, continued utility of any NFT, or the availability of any feature. Game mechanics, rewards, and utility may change at any time without notice.

12. Not Audited — Smart Contract & Software Risk

You acknowledge that blockchain applications and smart contracts are experimental technology. They may contain bugs, vulnerabilities, or logic errors that could result in lost funds, failed transactions, incorrect disbursals, or unexpected behaviour. No independent security audit has been performed or is represented to have been performed. You assume all risk of using unaudited software, and You accept that any loss caused by such bugs or vulnerabilities is Your sole responsibility.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Operator, its owners, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, or exemplary damages — including loss of profits, funds, tokens, NFTs, goodwill, data, or other intangible losses — arising out of or relating to Your use of, or inability to use, the rental market, even if advised of the possibility of such damages.

The Operator’s total aggregate liability for any claim arising out of this Agreement is limited to the lesser of (a) the total commission the Operator received on the specific rental at issue, or (b) the amount You paid for the specific rental at issue. This limitation applies regardless of the legal basis of the claim (contract, tort, negligence, or otherwise).

14. Indemnification

You agree to defend, indemnify, and hold harmless the Operator and its owners, employees, affiliates, and suppliers from any claim, demand, damage, loss, liability, cost, or expense (including legal fees) arising out of Your use of the rental market, Your breach of this Agreement, Your violation of any law or third-party right, or any transaction You enter into with another User.

15. WAX Blockchain & Third-Party Risks

The rental market relies on the WAX blockchain, its validators, RPC nodes, the AtomicAssets standard, wallet providers (such as WaxCloud / Anchor), and other third-party infrastructure and marketplaces that the Operator does not control. The Operator is not responsible for any failure, delay, outage, fork, congestion, or error caused by these third parties, or by any act of God, network issue, or force majeure. Any transaction once confirmed on-chain is final and cannot be reversed by the Operator.

16. Intellectual Property

All artwork, names, game content, and software associated with Cute Crushies remain the property of the Operator or its licensors. Renting an NFT grants only the limited in-game use described in this Agreement and does not grant any intellectual-property licence beyond that use.

17. Changes to This Agreement

The Operator may update this Agreement at any time. Changes apply from the date posted here. Continued use of the rental market after a change signifies Your acceptance of the revised terms. It is Your responsibility to review this Agreement before each rental or listing. A copy of the prior version is available on request.

18. Governing Law & Disputes

This Agreement is governed by the laws of the jurisdiction in which the Operator is established, without regard to conflict-of-laws principles. Any dispute arising out of or connected to this Agreement shall be brought exclusively in the courts of that jurisdiction, except where mandatory consumer-protection law of Your country of residence requires otherwise and cannot be excluded.

19. Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and all remaining provisions shall remain in full force and effect.
